Ark is governed by a voluntary Board of Management which delegates day-to-day running of the organisation to the Executive Team. Their primary focus is to enable good Governance across all aspects of Ark’s operations and to ensure Ark meets its legal and regulatory responsibilities as a provider of housing, care and employment of more than 700+ people.

You can nominate yourself as a Board Member at Ark by sending us your CV and a covering letter for the attention of Bobby Duffy, CEO. Please tell us why you wish to join the Board and what skills, knowledge and experience you can bring that would be an asset to Ark and the Board.

We will assess your letter and CV and decide if we wish to invite you for a formal interview – usually conducted by the Chair and Depute Chair of the Board and the CEO.

Board appointments are made at our Annual General Meeting (AGM) usually held in September each year, however, you can be co-opted as a Board member at any time, if we have vacancies, so if you are interested in joining, please go ahead and send us your CV.

AGM

AGM

We usually hold our AGM in September each year. This gives us time for the Board to agree the accounts for the previous financial year and to put them forward for approval by members attending the AGM. The business of the AGM is straightforward:

  1. The Chair of the Board of Management provides their annual report of the year’s events and invites questions from members
  2. The Director of Finance delivers a presentation on Ark Group accounts and invites questions from members. Members are then asked to vote to approve the accounts. Latest approved accounts can be found here
  3. Members are asked to approve the appointment of the financial auditors for the next annual accounts
  4. Finally, members are asked to approve appointments to the Board of Management

 

Ark Board of Management Sub Committee’s

Ark Board of Management Sub Committee’s

Ark has three sub committee's, detailed below, made up of Ark board members and each has delegated authority from the Board of Management to make decisions in matters relating to financial and operational governance and in the case of the Executive Sub Committee, overall governance of Ark.

The Executive Sub Committee consists of the Chair, Depute Chair and the Chairs of any standing sub committee's currently established. The primary purpose of the sub committee is to consider any business and make any decisions on any matter within the powers and remit of the Board of Management, where that business or those decisions are urgent and need to be considered or taken before the next scheduled meeting of the Board.

The Audit Sub Committee is made up of a minimum of four Board members with a Chair appointed by the Board of Management. Its remit from the Board is to monitor and review internal and external audit functions, and the Group’s compliance with relevant statutory regulations and the policies of the Group.

This sub committee will also advise the Board on issues of risk, control and governance. The annual report by the Audit Sub Committee to the Board will inform the Board’s decision to sign off on the Group Internal Financial Control Statement contained within the Directors’ report.

The Finance Sub Committee is made up of a minimum of four Board members with a Chair appointed by the Board of Management. Its remit is to support the development of Ark by having oversight of all aspects of its financial management. It has delegated responsibilities to oversee work in the following areas:

  • Strategic planning and budgeting
  • Monitoring and reporting
  • Asset management
  • Internal control
  • Organisational and business development
  • Payroll and pensions
  • Treasury management
  • Systems management
  • Remuneration
  • Intellectual Property
